By accessing or using the District 385 Website, submitting forms, making reservations, RSVPing for events, purchasing tickets, receiving SMS messages, or otherwise interacting with District 385's online services, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree to these Terms, you may not access or use the Website or our online services. Your continued use of the Website following any updates to these Terms constitutes acceptance of the revised Terms.

You agree to use the Website only for lawful purposes. You may not:

• Attempt to disrupt, overload, or interfere with the Website or its servers
• Submit false, misleading, or fraudulent information
• Attempt to gain unauthorized access to Website systems, accounts, data, or restricted areas
• Misuse reservation, RSVP, ticketing, or promotional systems, including submitting requests on behalf of others without permission
• Use any Website content in violation of applicable laws or the rights of any other person
• Introduce viruses, malware, or any other malicious code, or scrape, copy, or redistribute Website content in violation of these Terms

District 385 may suspend or terminate access for any user who violates these Terms or engages in conduct that we believe, in our discretion, harms or threatens the safety or integrity of the Website or our guests.

• An RSVP or guest list submission does not necessarily guarantee admission unless specifically stated for a given event.
• Admission may be subject to venue capacity, event rules, age requirements, valid identification, dress code, ticket requirements, and applicable laws.
• Event dates, times, performers, DJs, hosts, entertainment, promotions, pricing, and availability may change without notice.
• District 385 reserves the right to refuse admission or service when permitted by law and consistent with venue policies, including for reasons of safety, conduct, or compliance.
• Specific terms displayed for an individual event, promotion, or ticket may also apply and may override the general terms in this section for that specific offering.

Table and reservation requests are not confirmed until a District 385 host contacts you. Confirmed tables may carry a minimum spend and must be claimed by the agreed arrival time; unclaimed tables may be released. Deposits may be non-refundable within 48 hours of the reservation date.

• Ticket prices and applicable fees are displayed at the time of purchase through the platform used for that event.
• Customers are responsible for reviewing event information, including date, time, and details, before purchasing tickets.
• Refund, cancellation, postponement, and rescheduling policies may vary by event and by the ticketing platform used.
• Third-party ticketing platforms may have their own terms, fees, and policies that apply in addition to these Terms.
• District 385 may correct pricing or listing errors where permitted by law and may cancel or modify an event in the case of an unavoidable scheduling change or circumstance beyond its control.

Promotions and special offers may:

• Be available for a limited time only
• Have eligibility requirements
• Be subject to capacity or availability
• Require an RSVP, ticket purchase, social media follow, repost, or arrival before a specified time
• Contain additional conditions shown in the advertisement or event listing
• Be modified or discontinued where permitted by law

Specific promotional terms displayed in the applicable advertisement or event listing control for that promotion. District 385 is not responsible for promotions that are unavailable due to capacity, expiration, or failure to meet the stated conditions.

District 385 offers a recurring promotional and informational SMS messaging program. Customers who expressly opt in may receive messages including event announcements, RSVP confirmations and reminders, special offers, venue promotions, ticket information and venue updates.

Consent to receive SMS messages is not a condition of purchasing goods or services from District 385.

To stop receiving SMS messages, Reply STOP. After replying STOP, the customer will receive confirmation that they have been unsubscribed and will no longer receive recurring marketing SMS messages unless they opt in again.

"Carriers are not liable for any delayed or undelivered messages."

Use of the District 385 SMS program is subject to the District 385 Privacy Policy.

By opting in to receive SMS messages, you confirm that you:

• Are the owner or authorized user of the mobile number provided and are authorized to consent to messages at that number
• Are responsible for notifying District 385 if your phone number changes or is reassigned to another person
• Understand that message delivery may depend on your mobile carrier and network availability, and that District 385 cannot guarantee delivery of any message

If your number is reassigned to a new user, you must notify us so we can remove the number from our SMS lists. District 385 is not liable for messages sent to a number that has been reassigned without our knowledge.

Use of the District 385 Website and services is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your information, including information provided through reservations, RSVPs, and SMS sign-ups. Please review our Privacy Policy for details.

District 385's branding, logos, graphics, photographs, promotional materials, Website design, written content, and other original materials may be protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or commercially use any protected content without prior written authorization from District 385, except where permitted by law.

"District 385" and related names, marks, and logos are trademarks or trade names of District 385. Nothing on the Website grants any right to use any trademark, logo, or trade name of District 385 without prior written permission.

District 385 may use third-party services to operate its Website and services, including:

• Ticketing platforms
• Reservation providers
• Payment processors
• SMS and communications providers
• Social media platforms
• Mapping services
• Website analytics
• Marketing service providers

These third parties may maintain their own terms of service and privacy policies that govern your use of their services. To the maximum extent permitted by applicable law, District 385 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of, or inability to use, the Website or online services, even if District 385 has been advised of the possibility of such damages.

This limitation applies to the fullest extent permitted by applicable law and does not affect any non-waivable consumer rights or remedies available to you under New York or federal law.

To the extent permitted by law, you agree to indemnify and hold harmless District 385 and its owners, staff, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your misuse of the Website, your violation of these Terms, your unlawful behavior, or your infringement of another party's rights.

This indemnification obligation survives the termination of your use of the Website and is intended to the fullest extent permitted by applicable law.

These Terms are governed by and construed in accordance with the applicable laws of the State of New York, without limiting any consumer protections or rights that cannot legally be waived. Any disputes arising under these Terms shall be resolved in the courts located in the County of Queens, State of New York, to the extent permitted by law.
